Job Summary: The Board Liaison Officer will play a lead role in enabling the General Assembly, Board, Country Director and the CMT in meeting the objectives of the Country strategy. The position will be responsible for the provision of high level administrative, legal and Board liaison support to the Country director and the Governance arm of AAU. Support shall be extended to CMT as appropriate. The Officer shall execute his/her duties in line with AAI/AAU policies on corporate governance, AAU board manual and several AAU policies and procedures
Key Duties and Responsibilities:
Administrative support to CMT, the board and general assembly
- Provide secretarial support to CMT, the Board and General Assembly in line with AAU policies and procedures
- Organizes and prepare agendas and papers for meetings of the Governing Board, its Committees and the General Assembly.
- Takes minutes, draft resolutions, lodge the required forms and annual returns with statutory bodies
- Maintains statutory books, including registers of members, directors and secretaries
- Co-ordinates and maintains record of all communications between the Board and Management
- Liaises with the different departments to ensures that each directorate has access to the necessary Organizational policies, procedures and guidelines including Board instructions and requirements
Implementation of plans and budgets:
- Lead in developing, implementation, monitoring and accounting of Plans and Budgets for the CD and internal governance organs
- In consultation with the CD and CMT, develops Plans and Budgets for the
- CD Office and Board and ensure they are effectively implemented
- Schedules and follows up adherence to Board appointments and Make
- operational preparations for Board meetings in line with approved Board events schedules
- Coordinates Board capacity building initiatives (induction, exposure visits and training) in line with AAU governance manual
- Co-ordinates administrative and logistical support to Board members during scheduled board meetings and events
Provision of support to the CD and the board
- Provide executive assistance support to the Country Director and AAU Board Chair
- Manages the Country Directors and Board meetings calendar’s
- Compiles and consolidate documents for upcoming AAU Board meetings
- Facilitates visa processing for upcoming travels and in liaison with the administrative officer ensure that flight bookings are made
- Provides communications support for CD’s and Board processes and ensure that these are effectively covered and communicated to the rest of the Organization
- Schedules appointments, conferences and speaking engagements and handle all changes and cancellations
- Provides the Board Chair and CD with background information, meeting summaries and supporting
Provision of legal support
- Provide legal support to AAU on all matters impacting its operations
- Monitors changes in relevant legislation and the regulatory environment and recommends appropriate action;
- Facilitates and make input into the carrying out of legal audits of AAU activities
- Reviews the Program and projects for the legal implication and recommend
- Appropriates action to the CD
- Submits applications and follows up on NGO registration renewals in liaison with the HR and Administration Officer
- Reviews contracts, MOUs, agreements related to programming, donor relations, human resource, procurement, etc. for legal risks involvement and make recommendations to protect interests of AAU
- Attends court hearing on behalf of AAU as required by CMT
- Builds staff and partner capacity on key aspects of legal compliance and corporate governance
Carrying out research as required
- Undertake basic research and report on areas of interests to AAU as required by the Country Director or the National Governance Board.
- Carries out research, collate, analyze information and prepare reports in the areas of AAU Programs and policy interest as required by the CD or NGB
- Networks with specialists in thematic and Program areas of AAU and gather up to date information
Enforcing compliance
- Coordinate efforts to enhance AAU compliance to Affiliate Agreements, Governance Framework and legal requirements
- Reviews the affiliate agreements and work with the directorates to achieve full compliance
- Appraises Management and the NGB on the applicable governance framework of AAI/AAU with a view to ensure compliance
- Monitors and reports on the AAU lawyers in ensuring that they have ably executed their expectations on the legal requirements imposed on the Organization
- Ensures that resolutions, financial statements and reports are filed with the relevant authorities
Qualifications, Skills and Experience:
- The ideal candidate must hold a Bachelor’s Degree in Law from a recognised Institution plus a PGD in Legal Practice
- A relevant professional qualification such as ICSA would be an added advantage.
- A minimum of three years of similar experience working in a busy agency or similar non- governmental Organisation.
- Excellent written and oral communication skills with demonstrated high proficiency for correct spelling, grammar, tone and syntax
- Experience in corporate governance and legal practice
- Demonstrated experience in handling sensitive and confidential information with poise, tact and diplomacy
- Strong Organisational skills that Research skills reflect ability to perform and prioritise multiple tasks seamlessly with accuracy and attention to detail
- Strong interpersonal skills and ability to build relationships with stakeholders, including teammates, Board members and external legal fraternity
- Ability to take initiative to get tasks done, proactively track status of activities and solves problems to keep activities moving forward
- Emotional maturity, able to take constructive feedback, thrive in ambiguity and perform under pressure
- Impactful research and report writing skills
- Ability to draft and implement policies
- Highly resourceful team player with the ability to also be extremely effectively independently
